ProfitIQ Construction Advisors Terms of Service

These Terms of Service explain the general terms that apply when a client or prospective client uses the ProfitIQ Construction Advisors website, submits a Project Brief, requests a review, or purchases document review and decision-support services.

By submitting information to ProfitIQ Construction Advisors or engaging ProfitIQ for services, you agree to these terms.

1. Services Provided

ProfitIQ Construction Advisors provides construction document review and decision-support services for contractors and related construction businesses.

ProfitIQ services may include review of bid documents, drawings, specifications, addenda, bid forms, owner requirements, scope concerns, alternates, allowances, long-lead items, bonding requirements, and other project information provided by the client.

ProfitIQ’s services are intended to help clients identify decision-critical issues before committing significant estimating time.

2. Bid Decision Brief

The Bid Decision Brief is a focused document review designed to help contractors decide whether to proceed, proceed with caution, request clarification, or decline a project opportunity.

The Bid Decision Brief may include project summary information, key findings, risk observations, document references, decision drivers, clarification items, and a recommended next step.

The exact scope, timing, and deliverable may vary depending on the project, the documents provided, the deadline, and the agreed engagement.

3. Payment Required Before Work Begins

Payment is required before work begins.

ProfitIQ does not begin document review, analysis, or preparation of deliverables until payment has been received and the project scope has been accepted.

Submitting a Project Brief or contacting ProfitIQ does not create an obligation for ProfitIQ to begin work until the project has been accepted and payment arrangements have been completed.

4. Client Responsibilities

Clients are responsible for providing complete, accurate, and timely information.

This may include:

  • Project name

  • Project location

  • Bid date and time

  • Contractor type or trade focus

  • Bid documents

  • Drawings and specifications

  • Addenda

  • Bid forms

  • Known project concerns

  • Links to document folders or plan rooms

  • Any special instructions, deadlines, or confidentiality requirements.

Clients are responsible for ensuring they are authorized to share submitted documents and project information with ProfitIQ.

5. Incomplete, Vague, or Changing Information

ProfitIQ’s review depends on the documents, instructions, and information provided by the client.

Vague, incomplete, missing, outdated, or unclear instructions may limit the usefulness, accuracy, or specificity of the final deliverable.

If documents are missing, incomplete, revised, or supplemented after work begins, ProfitIQ may require additional time, a revised scope, or an additional fee.

New addenda, revised drawings, updated specifications, or expanded review requests after work begins may be treated as a new engagement or change in scope.

6. Scope Boundaries

ProfitIQ provides document review and decision-support services only.

ProfitIQ does not provide:

  • Legal advice

  • Engineering services

  • Architectural services

  • Estimating services

  • Bonding advice

  • Insurance advice

  • Accounting or tax advice through this service

  • Contractor-of-record services

  • Construction management services

  • Final bid decisions

ProfitIQ does not replace the client’s own review of the documents, estimating process, professional judgment, legal review, engineering review, architectural review, or contractor decision-making.

7. No Guarantee of Complete Issue Identification

ProfitIQ reviews documents based on the information provided and the agreed scope of work. ProfitIQ does not guarantee that every issue, inconsistency, risk, omission, requirement, conflict, or cost impact will be identified.

Construction bid documents may be lengthy, technical, incomplete, changing, or subject to interpretation. Clients remain responsible for reviewing all documents, confirming requirements, asking pre-bid questions, pricing the work, evaluating capacity, and making final bid decisions.

8. No Guarantee of Business Outcome

ProfitIQ does not guarantee that a client will win a bid, avoid a loss, improve profitability, reduce risk, or achieve any specific business result.

Any recommendation or decision-support conclusion is based on the documents and information reviewed and is intended to assist the client’s decision-making process. The final decision to bid, decline, price, clarify, negotiate, or proceed remains solely with the client.

9. Turnaround Time

ProfitIQ will make reasonable efforts to complete work within the agreed timeline. Turnaround time depends on document volume, project complexity, deadline, client responsiveness, and the scope of review.

Urgent requests may not always be accepted. If accepted, urgent or expedited reviews may be subject to additional fees.

ProfitIQ is not responsible for delays caused by missing documents, inaccessible links, incomplete information, late addenda, client delay, technology issues, or circumstances outside ProfitIQ’s control.

10. Deliverables and Revisions

Deliverables are based on the agreed scope and the documents available at the time of review.

Unless otherwise agreed in writing, ProfitIQ’s deliverable is final when submitted to the client.

Minor clarification questions about the delivered report may be answered at ProfitIQ’s discretion. Additional review, revised documents, new addenda, expanded scope, or changes requested after delivery may require a new engagement or additional fee

11. Confidentiality

ProfitIQ treats submitted project documents, bid information, client communications, and related project materials as confidential business information.

ProfitIQ uses submitted information only for the requested review, client communication, and normal business recordkeeping.

12. Use of AI-Assisted Tools and Technology

ProfitIQ may use AI-assisted tools, document review tools, spreadsheets, cloud storage, email systems, and other technology to assist with organizing, reviewing, analyzing, and summarizing project information.

These tools support the review process. They do not replace professional judgment, contractor judgment, legal review, engineering review, architectural review, estimating responsibility, or final client decision-making.

ProfitIQ remains responsible for the final deliverable provided to the client, and the client remains responsible for all final project, pricing, and bid decisions.

13. Client Authorization to Use Submitted Materials

By submitting documents, links, files, or project information to ProfitIQ, the client represents that the client has authority to provide those materials to ProfitIQ for review.

The client is responsible for complying with any plan room terms, owner restrictions, nondisclosure agreements, procurement rules, confidentiality requirements, or third-party restrictions that may apply to the documents.

14. Website Use

The information on this website is provided for general informational purposes only. Website content does not create a client relationship, engagement, contract, or obligation for ProfitIQ to provide services.

A client relationship begins only when ProfitIQ accepts the project scope and payment has been completed or other written payment arrangements have been accepted.

15. Limitation of Liability

To the fullest extent permitted by applicable law, ProfitIQ Construction Advisors is not responsible for indirect, incidental, consequential, special, or punitive damages arising from use of the website, submitted information, document review services, or reliance on any deliverable.

ProfitIQ’s total liability for any claim related to a paid service shall not exceed the amount paid by the client to ProfitIQ for the specific service giving rise to the claim.

16. Changes to These Term

ProfitIQ may update these Terms of Service from time to time. The updated version will be posted on this website with a revised effective date.

Continued use of the website or services after changes are posted means the updated terms apply.
